1 Acceptance of Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and Calin Sirian ("Company," "we," "us," or "our") governing your access to and use of the Vela Browser application ("Vela," "Software," or "Service") on macOS and iOS platforms.

By downloading, installing, accessing, or using Vela Browser, you acknowledge that you have read, understood, and agree to be bound by these Terms, as well as our Privacy Policy, which is incorporated herein by reference. If you do not agree with any part of these Terms, you must immediately cease all use of the Software and uninstall it from your devices.

If you are using Vela Browser on behalf of an organization or entity, you represent and warrant that you have the authority to bind such organization to these Terms, and your acceptance of these Terms will be treated as acceptance by that organization.

You must be at least 13 years of age to use Vela Browser. If you are under 18 years of age, you confirm that you have obtained the consent of a parent or legal guardian to use the Software in accordance with these Terms.

2 Description of Service

Vela Browser is a modern web browser application available for macOS and iOS, built with Swift and WebKit. The Software provides a suite of features designed to deliver a fast, private, and intelligent browsing experience, including but not limited to:

• Web Browsing: Full-featured web browsing powered by Apple's WebKit engine with tabbed navigation, bookmarks, browsing history, and download management.
• AI Assistant: An integrated AI-powered assistant that enables conversational interactions, content summarization, and intelligent browsing assistance through third-party AI providers.
• Password Manager: A built-in credential management system leveraging Apple Keychain for secure storage, autofill, and synchronization of passwords and login information across your devices.
• Content Blocking: Ad blocking and tracker protection features that filter web content to reduce unwanted advertisements, tracking scripts, and potentially harmful resources.
• Themes & Customization: A library of visual themes and customization options that allow you to personalize the appearance and behavior of the browser interface.
• News Feed: A curated content feed aggregating news and articles from third-party sources, displayed within the browser interface.
• Privacy Features: Fingerprint protection, tracking prevention, and other privacy-enhancing technologies designed to protect your online identity.
• iCloud Sync: Synchronization of browser data, settings, and preferences across your Apple devices through iCloud.

The specific features, functionality, and availability of the Service may vary by platform (macOS vs. iOS) and may change over time as we continue to develop and improve the Software.

3 License Grant

Subject to your compliance with these Terms, Calin Sirian grants you a limited, non-exclusive, non-transferable, revocable license to download, install, and use Vela Browser on compatible Apple devices that you own or control.

3.1 Permitted Use

You are free to use Vela Browser for both personal and commercial purposes at no charge. This includes use in professional, business, educational, and non-profit environments. There is no fee, subscription, or payment required for the use of the Software.

3.2 Restrictions

This license does not grant you any ownership rights in or to the Software, its source code, underlying technology, or any associated intellectual property. Specifically, you may not:

• Copy, modify, adapt, translate, or create derivative works based on the Software or its source code.
• Reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code of the Software, except to the extent expressly permitted by applicable law.
• Distribute, sublicense, lease, rent, loan, or otherwise transfer the Software or any rights therein to any third party.
• Remove, alter, or obscure any copyright notices, trademark notices, or other proprietary rights notices contained in or on the Software.
• Use the Software to develop a competing product or service.
• Use any automated means, including bots, scrapers, or crawlers, to access or interact with the Software in a manner not intended by its design.

3.3 Reservation of Rights

All rights not expressly granted to you under these Terms are reserved by Calin Sirian. The Software is licensed to you, not sold. Calin Sirian retains full ownership of all copies of the Software, regardless of the medium on which they are stored or the device on which they are installed.

4 User Responsibilities

As a user of Vela Browser, you agree to the following responsibilities and obligations:

4.1 Lawful Use

You shall use Vela Browser only for lawful purposes and in compliance with all applicable local, national, and international laws, regulations, and ordinances. You shall not use the Software to engage in, facilitate, or promote any illegal or unauthorized activities, including but not limited to:

• Accessing, distributing, or storing content that is illegal, harmful, threatening, abusive, harassing, defamatory, obscene, or otherwise objectionable.
• Infringing upon or violating the intellectual property rights, privacy rights, or other legal rights of any third party.
• Transmitting malware, viruses, worms, or any other malicious code or software.
• Engaging in unauthorized access to computer systems, networks, or data (hacking).
• Conducting phishing attacks, identity theft, fraud, or any form of deceptive practice.

4.2 Intellectual Property Respect

You acknowledge and agree to respect the intellectual property rights of Calin Sirian and all third parties. You shall not use Vela Browser to infringe upon any copyright, trademark, patent, trade secret, or other proprietary right of any party.

4.3 No Reverse Engineering

You shall not attempt to reverse engineer, decompile, disassemble, or otherwise attempt to discover the source code, object code, or underlying algorithms and processes of the Software, except as expressly permitted by mandatory provisions of applicable law that cannot be waived by contract.

4.4 Security

You are responsible for maintaining the security of your devices and accounts. You shall take reasonable measures to prevent unauthorized access to Vela Browser and any data stored or processed through the Software, including maintaining up-to-date operating systems and security patches on your devices.

4.5 Accurate Information

Where the Software requires you to provide information (such as for account creation, feedback, or support requests), you agree to provide accurate, current, and complete information.

5 AI Features & Services

Vela Browser integrates artificial intelligence capabilities to enhance your browsing experience. It is important that you understand how these features work and the responsibilities they entail.

5.1 Third-Party AI Providers

Certain AI features within Vela Browser are powered by third-party AI service providers. When you use these features, your queries and associated data may be transmitted to the servers of these third-party providers for processing. Each third-party AI provider operates under its own terms of service and privacy policy, and you agree to comply with those terms when using AI features that rely on their services.

5.2 User Responsibility for AI Content

You are solely responsible for the content you submit to AI features within Vela Browser, including but not limited to queries, prompts, and contextual information. You should exercise discretion and avoid submitting sensitive personal information, confidential business data, or any content that you would not want to be processed by third-party services.

5.3 AI Output Accuracy

AI-generated responses and content are provided for informational purposes only. AI outputs may be inaccurate, incomplete, or misleading. You should independently verify any information provided by AI features before relying on it for important decisions. Calin Sirian makes no warranty or representation regarding the accuracy, reliability, or completeness of any AI-generated content.

5.4 Apple Intelligence

Vela Browser may support or integrate with Apple Intelligence features where available. Apple Intelligence processing occurs on-device, in accordance with Apple's own privacy and security architecture. The use of Apple Intelligence features is subject to Apple's terms of service and privacy policy.

5.5 AI Usage Limitations

You agree not to use AI features within Vela Browser to generate content that is illegal, harmful, deceptive, discriminatory, or that violates the rights of any third party. Misuse of AI features may result in the suspension or termination of your access to those features or to the Software entirely.

6 Password Manager

Vela Browser includes a built-in password management feature to help you securely store and manage your login credentials and sensitive information.

6.1 Apple Keychain Integration

The Vela Browser password manager utilizes Apple's Keychain technology for the secure storage and synchronization of your credentials. Keychain provides hardware-level encryption and is managed by the operating system. The security of Keychain-stored data is governed by Apple's security architecture and policies.

6.2 Security Limitations

While Vela Browser implements industry-standard practices in its password manager integration, no system is completely immune to security threats. Calin Sirian is not responsible for the security of your passwords or data beyond the scope of our software implementation. Specifically:

• Calin Sirian does not have access to your stored passwords or Keychain data.
• The security of your credentials depends in part on the security of your Apple ID, device passcode, and operating system configuration.
• Calin Sirian is not liable for any data breaches, unauthorized access, or data loss that results from vulnerabilities in the operating system, Apple Keychain, or from your failure to maintain adequate security on your devices.

6.3 User Backups

You are strongly encouraged to maintain independent backups of your important credentials and sensitive data. While Apple Keychain provides synchronization through iCloud, you should not rely solely on any single storage mechanism. Calin Sirian is not responsible for any loss of data resulting from corruption, device failure, account issues, or any other cause.

6.4 No Password Recovery

Calin Sirian does not store your passwords on its own servers and cannot assist with the recovery of lost or forgotten credentials. Password recovery is subject to Apple's Keychain and iCloud account recovery processes.

7 Content & Third-Party Services

7.1 Third-Party Content

Vela Browser enables you to access content and services provided by third parties, including websites, web applications, and online services. We do not control, endorse, or assume responsibility for any third-party content, and the availability of such content through Vela Browser does not imply any affiliation with or endorsement by Calin Sirian.

7.2 News Feed

The news feed feature in Vela Browser aggregates content from third-party news sources and publishers. This content is provided by those third parties, not by Calin Sirian. We do not verify, endorse, or guarantee the accuracy, completeness, or timeliness of any news content. Your use of news content is subject to the respective terms and conditions of the originating publishers.

7.3 Wallpapers and Visual Content

Vela Browser may display wallpapers and background images sourced from third-party services, including Lorem Picsum and similar providers. These images are provided by their respective sources under their own licensing terms. Calin Sirian does not claim ownership of third-party visual content and is not responsible for its availability or suitability.

7.4 Linked Services

Vela Browser may contain links to or integrations with third-party websites, services, or applications. These links and integrations are provided for your convenience. Your interaction with any third-party service is governed by that third party's own terms and policies. Calin Sirian is not responsible for the content, privacy practices, or conduct of any third-party services.

7.5 Content Blocking

Vela Browser's content blocking features may filter or block certain advertisements, tracking scripts, and other web content. Content blocking is provided on a best-effort basis, and we do not guarantee that all unwanted content will be blocked or that legitimate content will never be inadvertently filtered. Some websites may not function correctly when content blocking is enabled.

8 Intellectual Property

8.1 Ownership

The Vela Browser name, logo, visual design, user interface, user experience, source code, object code, underlying technology, documentation, and all associated intellectual property rights are and shall remain the exclusive property of Calin Sirian. These materials are protected by copyright, trademark, and other intellectual property laws of Romania, the European Union, and applicable international treaties.

8.2 Trademarks

"Vela," "Vela Browser," and the Vela logo are trademarks or trade names of Calin Sirian. You may not use these marks without the prior written consent of Calin Sirian, except as reasonably necessary to refer to the Software in a factual, non-misleading manner (e.g., in reviews, articles, or compatibility descriptions).

8.3 Feedback

If you provide any feedback, suggestions, ideas, or recommendations to Calin Sirian regarding the Software ("Feedback"), you grant Calin Sirian a perpetual, irrevocable, worldwide, royalty-free, fully sublicensable license to use, reproduce, modify, distribute, and otherwise exploit such Feedback for any purpose without any obligation to you, including without compensation, attribution, or accounting.

8.4 User Content

You retain ownership of any content that you create, upload, or transmit through Vela Browser. Calin Sirian does not claim any ownership rights over your personal data, browsing content, or user-generated content.

9 Disclaimer of Warranties

VELA BROWSER IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, CALIN SIRIAN EXPRESSLY DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING BUT NOT LIMITED TO:

• Implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
• Any warranty that the Software will be uninterrupted, timely, secure, error-free, or free from viruses or other harmful components.
• Any warranty regarding the accuracy, reliability, or completeness of any content accessed through the Software, including AI-generated content, news feeds, or third-party materials.
• Any warranty that the Software will meet your specific requirements or expectations.
• Any warranty that defects in the Software will be corrected.

You acknowledge and agree that your use of Vela Browser is at your sole risk. No information or advice, whether oral or written, obtained by you from Calin Sirian or through the Software shall create any warranty not expressly stated in these Terms.

Some jurisdictions, including those within the European Union, do not allow the exclusion of certain implied warranties. In such jurisdictions, the above exclusions shall apply to the fullest extent permitted by applicable law.

10 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL CALIN SIRIAN, ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR LICENSORS BE LIABLE FOR ANY OF THE FOLLOWING ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF OR INABILITY TO USE VELA BROWSER:

• Any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, loss of data, loss of goodwill, business interruption, or any other intangible losses.
• Any damages resulting from unauthorized access to or alteration of your data or transmissions.
• Any damages resulting from the conduct or content of any third party accessed through the Software.
• Any damages resulting from errors, mistakes, or inaccuracies in AI-generated content.
• Any damages resulting from personal injury or property damage related to your use of the Software.

IN NO EVENT SHALL CALIN SIRIAN'S TOTAL AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR YOUR USE OF THE SOFTWARE EXCEED THE AMOUNT, IF ANY, PAID BY YOU TO CALIN SIRIAN FOR THE SOFTWARE DURING THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM. GIVEN THAT VELA BROWSER IS PROVIDED FREE OF CHARGE, THIS AMOUNT MAY BE ZERO.

The limitations set forth in this section shall apply regardless of the legal theory upon which the claim is based, whether in contract, tort (including negligence), strict liability, or otherwise, and even if Calin Sirian has been advised of the possibility of such damages.

Nothing in these Terms shall exclude or limit liability that cannot be excluded or limited under applicable law, including liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or any other liability that cannot be excluded under the laws of Romania or the European Union.

11 Indemnification

You agree to defend, indemnify, and hold harmless Calin Sirian and its affiliates, officers, directors, employees, agents, and licensors from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees and court costs) arising out of or in any way connected with:

• Your use of or access to Vela Browser.
• Your violation of these Terms or any applicable law, regulation, or third-party right.
• Your content or data transmitted through the Software.
• Your use of AI features, including any content you submit to or generate through AI services.
• Any dispute between you and a third party arising from your use of the Software.

Calin Sirian reserves the right, at its own expense, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you, in which event you will cooperate fully with Calin Sirian in asserting any available defenses.

12 Termination

12.1 Termination by You

You may terminate your use of Vela Browser at any time by uninstalling the Software from all of your devices and ceasing all use. No notice to Calin Sirian is required.

12.2 Termination by Calin Sirian

Calin Sirian reserves the right to terminate or suspend your access to Vela Browser, in whole or in part, at any time and for any reason, including but not limited to a breach of these Terms, with or without prior notice. In the event of termination for cause, Calin Sirian is not obligated to provide you with advance warning.

12.3 Effects of Termination

Upon termination of these Terms, for any reason:

• All rights and licenses granted to you under these Terms will immediately cease.
• You must promptly uninstall and destroy all copies of the Software in your possession or control.
• Sections of these Terms that by their nature should survive termination shall survive, including but not limited to Intellectual Property, Disclaimer of Warranties, Limitation of Liability, Indemnification, Governing Law, and Severability.

12.4 Discontinuation of Service

Calin Sirian reserves the right to discontinue Vela Browser or any of its features at any time, with or without notice. Calin Sirian shall not be liable to you or any third party for any modification, suspension, or discontinuation of the Software or any part thereof.

13 Governing Law

13.1 Applicable Law

These Terms shall be governed by and construed in accordance with the laws of Romania, without regard to its conflict of law principles, and in compliance with applicable European Union legislation, including but not limited to the General Data Protection Regulation (GDPR), the Digital Services Act (DSA), and the Consumer Rights Directive.

13.2 Jurisdiction

Any disputes arising out of or in connection with these Terms shall be submitted to the exclusive jurisdiction of the competent courts of Romania, unless mandatory consumer protection laws of your country of residence provide otherwise.

13.3 EU Consumer Rights

If you are a consumer residing in the European Union, you benefit from mandatory provisions of the consumer protection laws of your country of residence. Nothing in these Terms shall affect your rights as a consumer under such mandatory provisions. In the event of a conflict between these Terms and mandatory consumer protection laws, the mandatory provisions shall prevail.

13.4 Dispute Resolution

Before initiating any formal legal proceedings, the parties agree to attempt to resolve any disputes through good-faith negotiation. If you have a complaint or dispute, you should first contact us at [email protected] so that we can attempt to resolve the matter informally.

EU consumers may also be entitled to use the European Commission's Online Dispute Resolution (ODR) platform, available at https://ec.europa.eu/consumers/odr.

14 Changes to Terms

Calin Sirian reserves the right to modify, amend, or update these Terms at any time, at our sole discretion. When we make changes, we will update the "Effective Date" at the top of this page and, where appropriate, provide notice through the Software or on our website.

Material changes to these Terms will be communicated with reasonable advance notice. Your continued use of Vela Browser after the revised Terms become effective constitutes your acceptance of the updated Terms. If you do not agree with the revised Terms, you must stop using the Software and uninstall it from your devices.

We encourage you to review these Terms periodically to stay informed about your rights and obligations. The most current version of the Terms will always be available on our website at velabrowser.com/terms.

15 Severability

If any provision of these Terms is found to be unlawful, void, or unenforceable by a court of competent jurisdiction, that provision shall be modified to the minimum extent necessary to make it enforceable, or if modification is not possible, it shall be severed from these Terms. The invalidity or unenforceability of any provision shall not affect the validity or enforceability of the remaining provisions, which shall continue in full force and effect.

The failure of Calin Sirian to exercise or enforce any right or provision of these Terms shall not constitute a waiver of such right or provision. A waiver of any term or condition shall not be deemed a continuing waiver of such term or condition or any other term or condition.

These Terms, together with the Privacy Policy and any additional terms incorporated by reference, constitute the entire agreement between you and Calin Sirian regarding the use of Vela Browser and supersede all prior agreements, understandings, and communications, whether written or oral, relating to the subject matter herein.
